(the "Company") (NYSE: SUNE), announced today that it intends to file a prospectus supplement to a registration statement filed on Form S-3 with the U.S. Securities and Exchange Commission ("SEC"), relating to a proposed underwritten public offering of shares of perpetual convertible preferred stock, par value $0.01 per share (the "Perpetual Convertible Preferred Stock"). The Company will be offering 500,000 shares of its Perpetual Convertible Preferred Stock. - updated 8/18 - SunEdison, Inc. (the "Company") (NYSE: SUNE) announced today the pricing of its public offering of 650,000 shares of 6.75% Series A Perpetual Convertible Preferred Stock, par value $0.01 per share (the "Perpetual Convertible Preferred Stock"), at a price of $1,000 per share. The offering is expected to close on August 21, 2015, subject to customary closing conditions.
SunEdison is a developer and seller of photovoltaic energy solutions. Co. is also engaged in the development, manufacture and sale of silicon wafers to the semiconductor industry. Co. has three segments: solar energy, which provides solar energy services that integrate the design, installation, financing, monitoring, operations and maintenance portions of the downstream solar market for its customers; TerraForm Power, Inc., which owns and operates power generation assets, both developed by the Solar Energy segment and acquired through third party acquisitions; and semiconductor materials, which includes the manufacture and sale of silicon wafers to the semiconductor industry.
