Preferred Stock Offering Details: First PacTrust Bancorp, Inc. (the "Company") (NASDAQ:BANC), the holding company for PacTrust Bank and Beach Business Bank, announced the pricing of an underwritten public offering of 1.4 million depositary shares, each representing a 1/40th interest in a share of its 8.00% Non-Cumulative Perpetual Preferred Stock, Series C, par value $0.01 per share and liquidation preference of $1,000 per share, at an offering price of $25.00 per depositary share, for gross proceeds of $35 million. The Company has also granted the underwriters a 30-day option to purchase up to an additional 210,000 depositary shares to cover over-allotments, if any, at the same price, for potential additional gross proceeds of $5.25 million. The Company expects to retain the majority of the net proceeds of the offering for possible acquisitions, support of organic growth, investments in, or extensions of credit to, its subsidiaries, investments in securities and for general corporate purposes.

Through its subsidiary, Banc of California, National Association, Co. is engaged in providing products and solutions for businesses, business owners, and individuals within California. Co. provides a number of loan products including commercial and industrial loans; commercial real estate loans and multifamily loans; small business administration loans; and construction loans. Co. provides a variety of deposit products to its clients with a range of interest rates and terms. Deposits consist of interest-bearing and noninterest-bearing demand accounts, savings accounts, money market deposit accounts, and certificates of deposit.
