Preferred Stock Offering Details:
Annaly Capital Management, Inc. announced that it intends to make a public offering of shares of an original issuance of Series D Cumulative Redeemable Preferred Stock, liquidation preference $25.00 per share. Annaly intends to grant the underwriters of the Series D Preferred Stock a 30 day option to purchase additional shares of Series D Preferred Stock solely to cover over-allotments. --update 9/6/12 -- Annaly Capital Management, Inc. announced that it has priced a public offering of 16 million shares of its 7.50% Series D Cumulative Redeemable Preferred Stock, liquidation preference $25.00 per share, for gross proceeds of approximately $400 million. The offering is subject to customary closing conditions and is expected to close on or about September 13, 2012. In connection with the offering, Annaly has granted the underwriters an option for 30 days to purchase up to an additional 2.4 million shares of the Series D Preferred Stock to cover overallotments, if any.

Co. owns a portfolio of real estate related investments, including mortgage pass-through certificates, collateralized mortgage obligations, credit risk transfer securities, other securities representing interests in or obligations backed by pools of mortgage loans, residential mortgage loans, mortgage servicing rights, commercial real estate assets and corporate debt. Co.'s four investment groups are primarily comprised of the following: Annaly Agency Group; Annaly Residential Credit Group; Annaly Commercial Real Estate Group; and Annaly Middle Market Lending Group.
