(NYSE: GTLS) ("Chart") announced today that, subject to market and other conditions, it has commenced concurrent offerings (together, the "Offerings") of $600 million of common stock, par value $0.01 per share ("Common Stock"), and $300 million of depositary shares ("Depositary Shares"), each representing a 1/20th interest in a share of Series B Mandatory Convertible Preferred Stock, par value $0.01 per share ("Preferred Stock"), each in a separate underwritten registered public offering. In addition, Chart expects to grant the underwriters in each respective offering a 30-day option to purchase up to an additional $90 million of Common Stock and up to an additional $45 million of Depositary Shares. -updated 12/9- Chart Industries, Inc. (NYSE: GTLS) ("Chart") announced today that it has priced its previously announced concurrent offerings (together, the "Offerings") of 5,923,670 shares of common stock, par value $0.01 per share ("Common Stock"), at a public offering price of $118.17 per share and 7,000,000 depositary shares ("Depositary Shares"), each representing a 1/20th interest in a share of Series B Mandatory Convertible Preferred Stock, par value $0.01 per share ("Preferred Stock"), at a public offering price of $50 per share, each in a separate underwritten registered public offering. In addition, Chart has granted the underwriters in each respective offering a 30-day option to purchase up to an additional 888,550 shares of Common Stock and up to an additional 1,050,000 Depositary Shares, in each case at the public offering price per share. |
Chart Industries, Inc. is engaged in designing, engineering, and manufacturing of process technologies and equipment for gas and liquid molecule handling for the Nexus of Clean-clean power, clean water, clean food, and clean industrials, regardless of molecule. Its segments include Cryo Tank Solutions, Heat Transfer Systems, Specialty Products, and Repair Service & Leasing. Its Cryo Tank Solutions segment supplies bulk, microbulk and mobile equipment used in the storage, distribution, vaporization, and application of industrial gases and certain hydrocarbons.
