Atlanticus Holdings Corporation (NASDAQ: ATLC) ("Atlanticus" or the "Company") today announced the pricing of its underwritten registered public offering of 2,800,000 shares of 7.625% Series B Cumulative Perpetual Preferred Stock, no par value and liquidation preference of $25.00 per share (the "Preferred Stock") at an initial public offering price of $25.00 per share, raising gross proceeds of $70 million before deducting underwriting discounts, the structuring fee and other estimated offering expenses. In connection with the offering, the Company has granted the underwriters a 30-day option to purchase up to an additional 420,000 shares of Preferred Stock. The offering is expected to close on or about June 11, 2021, subject to customary closing conditions.
Atlanticus Holdings is a holding company. Through its subsidiaries, Co. provides products and services to lenders in the U.S. Co. has two segments: Credit and Other Investments, which provides private label credit and general purpose credit cards originated by lenders through multiple channels, including retail and healthcare, direct mail solicitation, digital marketing and partnerships with third parties; and Auto Finance, which purchases and/or services loans secured by automobiles from or for, and also provides floor plan financing for, a pre-qualified network of automotive dealers and automotive finance companies in the buy-here, pay-here, used car business.
