Prospectus excerpt:  Applied UV, Inc. is offering 480,000 shares of its 10.5% Series A Cumulative Perpetual Preferred Stock (“Series A Preferred Stock”) at an offering price of $25.00 per share. There is no minimum on the number of shares of Series A Preferred Stock that may be purchased in this offering. Dividends on the Series A Preferred Stock will accrue daily and will be cumulative from, and including, the first day of the month of the date of issue, and will be payable monthly in arrears on the 15th day of each month and if such date is not a business day, then payable on the immediately following business day, commencing on August 15, 2021 when, as and if declared by our board of directors. Dividends will be payable out of amounts legally available therefor at a rate equal to 10.5% per annum per $25.00 of stated liquidation preference per share, or $2.625 per share of the Series A Preferred Stock per year. We will establish a segregated account that will be funded at closing with proceeds sufficient to pre-fund twelve (12) monthly dividend payments.
