Prospectus excerpt: At the closing of this offering, the Series F Trust will issue the 5.95% Trust Preferred Securities, Series F (the ÙSeries F Trust Preferred Securitiesˆ), which will represent preferred undivided beneficial interests in the assets of the Series F Trust. It will also issue common securities (the ÙSeries F Common Securitiesˆ), which will represent common undivided beneficial interests in the assets of the Series F Trust. The Company will purchase all of the Series F Common Securities from the Series F Trust. The Series F Common Securities will equal at least 3% of the total capital of the Series F Trust. The Series F Trust Preferred Securities will equal the remaining capital of the Series F Trust. The Series F Trust Preferred Securities and the Series F Common Securities, together also referred to as the ÙSeries F Securitiesˆ, will have substantially similar terms, except that the holders of the Series F Trust Preferred Securities will have priority in right of payment under certain circumstances and the holders of Series F Common Securities will have broader voting rights.
