Prospectus excerpt:  Fulton Financial Corporation is offering 8,000,000 depositary shares (the “depositary shares”), each representing a 1/40th interest in a share of Fixed Rate Non-Cumulative Perpetual Preferred Stock, Series A, no par value, with a liquidation preference of $1,000 per share (equivalent to $25.00 per depositary share) (the “Series A Preferred Stock”). Each depositary share, evidenced by a depositary receipt, entitles the holder, through the depositary, to a proportional fractional interest in all rights and preferences of the Series A Preferred Stock (including dividend, voting, redemption and liquidation rights). You must exercise any such rights through the depositary. We will pay cash dividends on the Series A Preferred Stock, only when, as, and if declared by our board of directors, or a duly authorized committee of the board, and to the extent that we have funds legally available for the payment of such dividends, at an annual rate of 5.125% on the liquidation preference amount of $1,000 per share of Series A Preferred Stock (equivalent to $25.00 per depositary share per year), quarterly in arrears, on January 15, April 15, July 15 and October 15 of each year (each, a “dividend payment date”), beginning on January 15, 2021.
