Prospectus excerpt: We are offering 6,000,000 depositary shares, each representing a 1/1,000th ownership interest in a share of our 5.25% Series F Non-Cumulative Perpetual Preferred Stock, par value $0.01 per share, with a liquidation preference of $25,000 per share (equivalent to $25 per depositary share) (the ÙSeries F Preferred Stockˆ). As a holder of depositary shares, you will be entitled to all proportional rights and preferences of the Series F Preferred Stock (including dividend, voting, redemption and liquidation rights). You must exercise such rights through the depositary. We will pay dividends on the Series F Preferred Stock, when, as, and if declared by our board of directors or a duly authorized committee of the board. Dividends will accrue and be payable from the date of issuance at a rate of 5.25% per annum, payable quarterly in arrears, on March 15, June 15, September 15 and December 15 of each year, beginning on March 15, 2018. Upon payment of any dividends on the Series F Preferred Stock, holders of depositary shares are expected to receive a proportionate payment.
