Prospectus excerpt: We are offering 2,000,000 shares of our 7.00% Fixed-to-Floating Rate Series A Non-Cumulative Perpetual Preferred Stock, without par value ("Series A preferred stock"), with a liquidation preference of $25 per share of Series A preferred stock. Dividends on the Series A preferred stock will not be cumulative or mandatory. If our board of directors does not declare a dividend on the Series A preferred stock or if our board of directors authorizes and we declare less than a full dividend in respect of any Dividend Period (as defined herein), we will have no obligation to pay a dividend or to pay full dividends for that Dividend Period at any time, whether or not dividends on the Series A preferred stock or any other class or series of our preferred stock or common stock are declared for any future Dividend Period. We will pay dividends on the Series A preferred stock, when, as, and if declared by our board of directors. Dividends will be payable from the original date of issuance to, but excluding, April 1, 2024, at a rate of 7.00% per annum, payable quarterly, in arrears, on January 1, April 1, July 1, and October 1, of each year, beginning on July 1, 2019. From, and including, April 1, 2024, dividends will be payable at a floating rate equal to three-month LIBOR (as defined herein) plus a spread of 460.5 basis points per annum, payable quarterly, in arrears, on January 1, April 1, July 1, and October 1, of each year, beginning on April 1, 2024. Notwithstanding the foregoing, in the event that three-month LIBOR is less than zero, three-month LIBOR shall be deemed to be zero.

Co.'s business segments are defined as multi-family mortgage banking, which originates Federal Housing Authority loans that are sold as Government National Mortgage Association mortgage backed securities; mortgage warehousing, which provides asset-based financing in the form of warehouse facilities; and banking, which includes retail banking, commercial lending, agricultural lending, retail and correspondent residential mortgage banking, and SBA lending.
